1. Agreement
These Terms of Service ("Terms") govern your use of the Applaud mobile application, desktop application, and website ("Applaud", "Service"). By creating an account or using the Service, you agree to these Terms. The Terms are a binding agreement between you and Applaud.
If you access or use the Services on behalf of a company or other entity, you represent that you have authority to bind such entity and its affiliates to these Terms. In such cases, "you" or "your" refers to the entity and its affiliates.
If you do not agree to these Terms, do not use the Service.
Applaud (pre-incorporation) is operated by Adam Virani and Max Zhang.

We may update these Terms from time to time. If we make material changes, we will notify users through the app or other reasonable means.
2. Accounts
Eligibility
You must be at least 13 years old to use Applaud.
- You must be legally permitted to use the app in your jurisdiction.
- If you are under the age of 18 (or the age of majority in your jurisdiction), you confirm that you have obtained permission from a parent or legal guardian to use the app.
- We do not knowingly collect personal information from children under 13. If we learn that we have collected personal information from a child under 13, we will delete that information and terminate the account.
Signing Up
To use Applaud, you must create an account. By creating an account, you agree:
- To provide accurate and complete information about yourself ("User Data").
- To keep User Data up to date and make any changes as soon as possible.
- That Applaud may use your User Data to provide Services that you access or use as set out in these Terms and our Privacy Policy.
- To create only one account for personal use and not to share it with others.
- That all activities associated with your account on Applaud are done by you.
- That Applaud has the right to suspend or terminate your account and refuse current or future use of Applaud if you violate these Terms or other applicable rules.
- That, to the maximum extent permitted by law, Applaud is not liable for indirect, incidental, special, or consequential damages arising from your use of Applaud.
You are responsible for maintaining the confidentiality of your account password and for preventing unauthorized access to your account.
You must notify Applaud immediately of any unauthorized access or use of your account or password, or any other breach of security that could expose your User Data.
You may sign up or log in with a third-party network such as Google or Apple. If you do this, you authorize Applaud to fill in registration and other relevant account fields, and to use third-party credentials to log you in, based on those third parties' privacy policies.
You may delete your account at any time through Applaud. Upon deletion, your User Content will be deleted. We may retain limited technical information where required for legal compliance, security, or operational integrity.
3. User Content
Ownership
In these Terms, "Content" refers to photos, videos, text, and messages shared on Applaud. You retain ownership of all Content you share on Applaud.
By sharing Content, you confirm that it does not violate, misappropriate, or infringe third-party rights, including but not limited to privacy rights, publicity rights, or copyrights.
You also confirm that your relationship with Applaud is not confidential, fiduciary, or special in any way that places Applaud in a position different from that of members of the general public.
Responsibility
You are fully responsible for the Content you make available through the Service, including illegal content. Applaud is not responsible for such Content, and you accept all risks relating to use of Applaud. By using the Service, you understand that you may be exposed to offensive, indecent, objectionable, or illegal content.
You are responsible for ensuring your Content is compatible with our Community Guidelines and relevant laws. Applaud may screen, monitor, hide, restrict, refuse, or remove any Content we find to violate our Community Guidelines or relevant laws. Applaud may suspend or terminate accounts for such violations.
If you find any content to violate these guidelines or relevant laws, you may report it in-platform or contact the developers at the emails above.
License
To provide the Service, we need permission to use your Content. By posting, you grant us a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and display your Content and any name, username, or likeness that you post on or in connection with the Service in all media formats and channels now known or later developed, without compensation to you.
This includes permission to use your Content in ads, offers, and other commercial contexts. We will use your Content in accordance with our Privacy Policy. You agree and confirm that you grant Applaud the license set out here.
Limitation of Liability
To the maximum extent permitted by law, Applaud is not liable for indirect, incidental, special, or consequential damages arising from your use of Applaud.
Privacy
Your Content is not subject to any obligation of privacy or confidence on the part of Applaud, except as set out in our Privacy Policy and your chosen privacy controls.
4. Service Availability and Feedback
The Service is provided "as is" and "as available." We do not guarantee uninterrupted or error-free operation.
Applaud may make certain features available to you as part of a beta release, early access program, or similar opportunity to test or use the features ("Beta Features").
Beta Features may not be supported and may require you to update your version of the Services. Use of Beta Features is at your own risk, and you understand that they may contain errors, design flaws, or other problems.
Any feedback you provide through the Service, relating or not relating to Beta Features, grants Applaud a worldwide, non-exclusive, transferable, assignable, sub-licensable, perpetual, irrevocable, royalty-free license to copy, distribute, create derivative works of, publicly display and perform, and otherwise exploit such Feedback and to use, make, have made, sell, offer for sale, import, and export products and services based on such Feedback.
For this reason, do not send Applaud any Feedback if you do not want to give us the license set out in this section. For the avoidance of doubt, Feedback is not considered Content for Section 3 (User Content).
5. Governing Law
These Terms are governed by the laws of Canada, and where applicable, the laws of the Province of Quebec, without regard to conflict of law principles.
